JOB PURPOSE:

  • Manage MISC Group’s fund raising initiatives (debt, equity or equity linked) to secure optimum financing solution within acceptable risk profile and at most favorable terms and conditions;
  • Plan and manage the loan portfolio and loan administration of the MISC Berhad (MISC) Group of Companies.

PRINCIPAL ACCOUNTABILITIES:

Funding Requirements

  • Manage corporate exercise (bonds issuance or corporate term loans) and financing initiatives (for project financing) undertaken by MISC Group of Companies. The task includes:
  • Compile and evaluate proposals from banks for project financing or corporate term loan from response to Request for Proposals (RFP);
  • Ensure necessary Bank Negara Malaysia (BNM) Foreign Exchange Administration (FEA) rulings are met;
  • Propose the most tax efficient financing structure per Tax’s advice;
  • Prepare proposal paper to management or Board of Directors in seeking approval for the financing exercise;
  • Discuss with Company Secretary on the debt equity structure and the type of equity (i.e. 100% ordinary shares or a mixture of ordinary shares with preference shares) and assist Business Unit in setting up a new Special Purpose Vehicle (SPV) company.
  • Review and negotiate the Term Sheet and loan documentation with Legal and lenders.

  • Hedge loan exposures.
  • Manage the inter-company loans with subsidiaries and joint venture companies in supporting their project and working capital requirements.

  • Liaise with Legal team in finalizing the inter-co loan agreements

MISC Group Financing Plan

  • Assist Head in the Financing Plan exercise in terms of:
  • Economic outlook or SWAT analysis;
  • Key Performance Business Indicators (KPBIs);
  • Lead the CF team in preparing the loan schedule based on the DE structure of project; and
  • Manage the development of financial models for Business Units/ subsidiaries which includes financing structure for planned and existing projects to support Head in achieving optimum funding for the Group’s investment or projects.

Corporate Finance Advisory

  • Support Head in corporate exercises and/or special projects with respect to:
  • funding strategy/options (to meet the requirements of Bid/Tender document on potential business venture(s)) or
  • capital structure for the MISC Group and subsidiaries in existing and new ventures through the development of financial models and/or funding plans to support financing proposals and tender bid submissions respectively.

Initial Credit Ratings Review (MISC Group of Companies)

  • Manage the rating exercise by rating agencies (international and/or local), in collaboration with the Group Accounts section, to facilitate fundraising via the Debt Capital Market.

Loan Administration (MISC Group of Companies)

  • Plan and manage MISC Group’s loan/ borrowings covenants (qualitative and quantitative) to ensure compliance with external loan covenants and loan administration policies/ requirements (both management and statutory-related).
  • Review the compliance documents before submission.
  • Manage the loan administration (reporting aspect) for all external and inter-company loans.
  • Review the quarterly reports for submission to BNM.
  • Lead discussions with the Agent Bank during any potential waiver request exercises in the event of a breach to covenants.

People Development

  • Provide specific guidance and motivation to drive the development of a ready pool of capable and competent Corporate Finance professionals to best support the Group’s business growth and operational needs

EXPERIENCE & REQUIREMENTS:

  • At least 10 – 12 years of working experience in Finance/ Treasury/ Accounting.
  • Experience in Corporate Finance and Treasury functions in particular project financing.
  • Experience in oil & gas or energy sector.
  • Proven record in raising and closing financing.
  • Degree in Accounting/ Finance/ Economics or other related professional qualifications.
