Role Overview

We are looking for a seasoned Director – Finance to act as a strategic partner to the CEO and leadership team. This role will drive the organization’s financial strategy, lead M&A initiatives, manage fundraising, and ensure strong governance and compliance frameworks.

The ideal candidate brings a blend of strategic thinking, hands-on execution, and strong business acumen, with experience operating in a fast-growing, innovation-driven environment.

Key Responsibilities

Mergers & Acquisitions (M&A)

  • Identify and evaluate strategic M&A opportunities aligned with business objectives
  • Lead end-to-end deal lifecycle including financial modelling, due diligence, valuation, negotiations, and closure
  • Develop business cases, risk assessments, and post-merger integration plans
  • Manage relationships with investment bankers, advisors, legal partners, and stakeholders

Finance & Accounts Management

  • Oversee accounting operations, financial reporting, budgeting, and forecasting
  • Ensure accurate and timely monthly, quarterly, and annual financial statements
  • Drive strong internal controls, cash flow management, and treasury operations
  • Lead cost optimization, unit economics analysis, and profitability improvement initiatives
  • Provide actionable insights through MIS reporting and data-driven analysis

Fundraising & Investor Relations

  • Lead equity and debt fundraising initiatives
  • Develop investor presentations, financial models, and business plans
  • Engage with investors, financial institutions, and strategic partners
  • Manage due diligence, documentation, and fundraising compliance
  • Support board reporting and investor communication

Compliance & Governance

  • Ensure adherence to statutory, tax, and regulatory requirements (Companies Act, GST, Income Tax, FEMA, etc.)
  • Oversee audit processes (internal, statutory, external)
  • Strengthen risk management and corporate governance frameworks
  • Manage compliance across subsidiaries, joint ventures, and international operations

Strategic Leadership

  • Partner with leadership on long-term strategy and financial planning
  • Act as a financial advisor to the CEO and executive team
  • Build and lead a high-performing finance team
  • Drive process improvements, system implementation, and automation initiatives

Qualifications & Experience

  • Chartered Accountant with 15+ years of progressive experience in finance leadership, including M&A, fundraising, and strategic finance
  • Proven track record in M&A transactions, fundraising, and financial modelling
  • Strong experience in building and managing end-to-end finance functions
  • Deep knowledge of accounting standards, taxation, and regulatory compliance
  • Experience in manufacturing, climate-tech, agri-tech, or high-growth sectors is preferred but not required
  • Excellent stakeholder management, negotiation, and communication skills
