We are a well-established listed company based in Hong Kong and are principally involved in property development, property investment and financial investment. We are currently looking for high caliber candidates to join us .
About The Role
- Department Head, Report to Executive Director and CEO
- Provide expert counsel to management on all company secretarial and corporate finance matters, legal/regulatory requirements, and best practices in corporate governance
- Manage full range of company secretarial matters and corporate finance transactions for the listed companies, its subsidiaries and associated companies
- Manage the company's statutory records, filings, and all Board/shareholder meeting proceedings to the highest standards
- Handle corporate transactions (incl. but not limited to disclosable, major and connected transactions, VSA/VSD, rights issues, convertible notes, placing etc.), restructurings, and other strategic initiatives, ensuring adherence to legal and regulatory obligations
- Act as the primary liaison with regulatory bodies, external counsel, and other key stakeholders
Requirements
- Solid hands on experience with corporate transactions, drafting and handling company secretarial documents and submission documents including but not limited to minutes, board resolutions, announcements, circulars and prospectuses etc.
- Thorough understanding of Companies Ordinance, Listing Rules, and relevant provisions of the Securities and Futures Ordinance respecting disclosure of interests
- Member of HKICS/ ICSA is preferred with at least 15 years of experience in handling company secretarial duties and corporate finance transactions.
- Hong Kong listed companies exposure is a must, preferably with experience from property developers
- Proactive, responsible and able to work under pressure
- Team player with a collaborative approach
- Excellent written and verbal communication skills in both English and Chinese, with the ability to liaise effectively with senior executives and external stakeholders
