Position Summary

The Board supports the work of Salal Foundation to provide mission‑based leadership and strategic governance. The Board works in close partnership with the Chief Executive Officer (CEO) to ensure the organization upholds the best standard of governance and accountability and is well‑equipped to meet its strategic commitments.

Treasurer positions are critically important, as they have heightened responsibilities related to financial management and accountability. They work closely with the Chair, as part of the Executive Committee, to oversee the maintenance of the financial health of the organization, monitoring the availability and accuracy of financial statements, supporting audits, and making recommendations to the board related to significant financial decisions and/or policies.

They will work closely with the CEO and finance team to support planning Salal Foundation’s assets, liquidity, debt, investments, etc.

The Treasurer is responsible (as per the organization’s bylaws) for overseeing that the necessary arrangements are in place to ensure the finance team has the appropriate resources arranged in order to execute on:

  • Receiving and banking monies collected from the members or other sources;
  • Keeping accounting records in respect of the Society’s financial transactions;
  • Preparing the Society’s financial statements;
  • Making the Society’s filings respecting taxes.

Principle Duties

While the same roles and responsibilities of Board Members apply to Treasurers, additional responsibilities include:

Strategic Oversight

  • Ensure that the Board is able to regularly review major risks and associated opportunities, and satisfy itself that systems are in place to take advantage of opportunities, and manage and mitigate the risks.
  • Ensure that the Board fulfills its duties to ensure sound financial health of the organization, with systems in place to ensure financial accountability.

Financial Oversight

  • Oversee, and present budgets, accounts, management accounts and financial statements to Board Members.
  • Ensure that proper accounts and records are kept, ensuring financial resources are spent and invested in line with the organization’s policies, good governance, legal and regulatory requirements.
  • Develop and implement financial, reserves and investment policies.
  • Act as a counter‑signatory on organizational cheques and any applications for funds.

Committee Oversight

  • Assume a leadership role on board’s finance committee or initiatives related to financial matters.
  • Maintain sound financial management of the organization’s resources, ensuring expenditure is in line with the organization’s strategy.
  • Implement and monitor compliance with specific financial controls and systems.
  • Chair any finance committee meeting in line with standing orders and terms of reference and report back to the board of directors.
  • Advise on the financial implications of the organization’s strategic plan.
  • Liaise with the organization’s secretary and finance lead, where applicable, to ensure that the organization’s annual accounts are compliant with the relevant legal guidance.
  • Contribute to the fundraising strategy of the organization.
  • Liaise with external auditors or independent examiners, where appropriate.
  • Monitor and advise on the financial viability of the organization.
  • Liaise with the CEO to maintain an overview of the organization’s affairs, providing support as necessary.
  • Conduct an annual appraisal and remuneration review for the CEO in consultation with other Board Members and Chair.

To this end, the Treasurer should report on the current financial position of the organization to the board on a quarterly basis.

Qualifications

We are seeking an individual passionate about Salal Foundation’s mission and has a track record of upholding and implementing strong governance systems and structures.

Ideal candidates will have the following qualifications:

  • At least 10 years of financial management experience.
  • Personal qualities of integrity, credibility, and a passion for climate change and progressive social outcomes.
  • Experience in non‑profit governance and upholding organizational policies and procedures.
  • Service on Salal Foundation’s Board of Directors is voluntary based, except for administrative support, travel, and accommodation costs related to the Board member’s duties.
